Pacific Comox Terminates Share
Purchase Agreement For Proposed Papex Transaction. The proposed
Papex transaction, the terms of which were announced on November
22, 2000 with revised terms announced on February 21, 2001was
terminated by Pacific Comox effective December 20, 2001.

Update On Status Of Proposed
Transaction With Papex Inc. Pacific Comox proposed to seek
regulatory approval for amendments to the proposed transaction
with Papex Inc.

Revised Terms For The Proposed
Transaction With Papex Inc. Announced. Two terms of the proposed
transaction with Papex Inc announced on November 22, 2000, were
revised. For the acquired interest, Comox would now pay
C$500,000 and 3,000,000 common shares, rather than C$620,000 and
2,000,000 common shares.
